ACCEPTANCE OF TERMS

By accessing or using WhitePanther™, you agree to be bound by these Terms of Service (“Terms”). If you are using the platform on behalf of an organization, you represent and warrant that you have the authority to bind the organization to these Terms. If you do not agree to these Terms, do not use the Service.

SERVICE OVERVIEW

WhitePanther™ is a business collaboration and productivity software offered as a Software-as-a-Service (SaaS). It includes features such as:

• Messaging, file sharing, calendar integration
• Workflow automation and team management tools
• Dashboard and reporting modules

Access to the platform is granted through a subscription model, governed by a separate commercial agreement if applicable.

ACCOUNT REGISTRATION

You must:

• Provide accurate and complete information
• Maintain confidentiality of your login credentials
• Be responsible for all activities that occur under your account

You agree to notify us immediately if your account is compromised or misused.

LICENSE AND RESTRICTIONS

We grant you a non-exclusive, non-transferable, revocable license to use the platform for your internal business use. You may not:

• Resell, distribute, or sublicense the platform
• Use the service for illegal or harmful activities
• Reverse-engineer, tamper, or attempt unauthorized access
• Circumvent security or license controls

Violation of this section may result in immediate suspension or termination of service.

USER-GENERATED CONTENT

You retain ownership of all content you upload or submit. By uploading, you grant us a limited license to host and process it solely to provide the service. You must ensure that:

• Your content does not infringe any third-party rights
• You have lawful authority to use and share such content

We reserve the right to remove or disable content that violates these terms or applicable law.

DATA PROTECTION & PRIVACY

Your use of WhitePanther is subject to our Privacy Policy, which complies with GDPR and ISO 27001. We:

• Only process data based on lawful grounds (e.g., consent, contract)
• Store data in secure, ISO-certified environments
• Respect your rights to access, correct, or delete your data

AVAILABILITY & SUPPORT

We aim to provide 99.9% uptime, excluding planned maintenance and force majeure. Support is available via email and customer portal during business hours (IST). We reserve the right to update or modify the platform periodically to improve performance and security.

PAYMENT & SUBSCRIPTIONS

If you subscribe to a paid plan:

• Fees are billed in advance on a monthly or annual basis
• All payments are non-refundable unless otherwise stated
• Non-active users may result in account suspension

TERMINATION

You or we may terminate the agreement:

• At any time with written notice (subject to contractual terms)
• Immediately for breach of terms or misuse of service

Upon termination:

• Access will be revoked
• Data will be retained for up to 90 days for export, then deleted
• Any outstanding fees must be paid

WARRANTIES AND DISCLAIMERS

We do not warrant that:

• The platform will be error-free, uninterrupted, or secure
• All data will be perfectly retained or recoverable

The platform is provided “AS IS” and “AS AVAILABLE”, without warranty of any kind.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, we are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, business, or data
• Any damages exceeding fees paid by you in the previous 12 months

This clause applies regardless of the form of action, including negligence.

CONFIDENTIALITY

Both parties agree to maintain the confidentiality of any non-public business, technical, or financial information disclosed during the use or negotiation of the service.

COMPLIANCE & EXPORT RESTRICTIONS

You must comply with all applicable local, national, and international laws, including export restrictions and anti-terrorism laws.

MODIFICATIONS TO TERMS

We may update these Terms at any time. You will be notified of material changes via email or in-app notifications. Continued use of the service constitutes acceptance of the updated terms.

GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
