MASTER TERMS OF SERVICE

These Master Terms of Service (“Terms”) govern access to and use of the WhitePanther™ platform (“Platform” or “Service”).

By accessing or using the Platform, you agree to be bound by these Terms.

If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization.

  1. DESCRIPTION OF SERVICE

WhitePanther™ is a subscription-based business operations platform that may include:

  • AI-assisted email drafting
  • Gmail integration via secure OAuth connectivity
  • Independent email marketing tools
  • Collaboration and workflow modules
  • Teams chat functionality
  • Audio and video calling
  • Screen recording (stored in user-controlled third-party cloud storage)
  • Manual time tracking tools
  • Payment orchestration dashboards integrated with regulated third-party processors

WhitePanther does not operate as:

  • A bank
  • A financial institution
  • An escrow service
  • A wallet provider
  • A telecom operator
  • A licensed communication carrier

All financial transactions are executed by third-party payment processors.
Audio and video communication relies on internet connectivity and third-party infrastructure components.

  1. ELIGIBILITY

You must:

  • Be at least 18 years old
  • Have legal capacity to enter into binding contracts
  • Use the Service for lawful business purposes

We reserve the right to refuse or discontinue service at our discretion, subject to applicable law.

  1. ACCOUNT REGISTRATION & SECURITY

You agree to:

  • Provide accurate and complete information
  • Maintain confidentiality of login credentials
  • Restrict unauthorized access
  • Promptly notify us of suspected breaches

You are responsible for all activity conducted under your account.

  1. ORGANIZATION ACCOUNTS

For organizational subscriptions:

  • Administrators control user roles and permissions
  • We may rely on administrator instructions
  • You are responsible for internal access management
  • Internal misuse by team members remains your responsibility

WhitePanther is not responsible for internal disputes among users within the same organization.

  1. LICENSE GRANT

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for internal business purposes.

You may not:

  • Resell or sublicense the Service
  • Reverse engineer or attempt to extract source code
  • Circumvent security mechanisms
  • Interfere with network integrity
  • Use the Service for unlawful or fraudulent purposes
  1. TEAMS CHAT & AUDIO/VIDEO COMMUNICATION

WhitePanther may provide internal team messaging and audio/video calling features.

6.1 Nature of Service

  • Chat and call functionality is provided as a collaboration tool.
  • Real-time communication quality depends on user network conditions.
  • WhitePanther does not guarantee uninterrupted connectivity.

6.2 Data Handling

  • Messages may be stored within the Platform according to retention settings.
  • Audio/video calls are not recorded by default unless explicitly enabled by the Customer.
  • If recording functionality is enabled, users are responsible for obtaining lawful consent.

WhitePanther does not monitor private conversations except where required for:

  • Security investigations
  • Legal compliance
  • Abuse prevention

6.3 User Responsibilities

Users must not use chat or call features to:

  • Harass, threaten, or abuse others
  • Share unlawful content
  • Conduct phishing or fraud
  • Violate intellectual property rights

We may suspend accounts engaging in abusive communication behavior.

  1. SUBSCRIPTION, BILLING & TAXES

Access to paid features requires subscription.

7.1 Merchant of Record

WhitePanther acts as Merchant of Record.

Payments are processed by:

  • Razorpay Software Private Limited
  • PhonePe Private Limited

WhitePanther:

  • Does not store full card numbers
  • Does not store CVV
  • Relies on tokenized credentials handled by payment processors

7.2 Taxes

Applicable GST and other taxes will be charged in accordance with Indian law.

7.3 Failed Payments

Failure to complete payment may result in suspension or termination.

Detailed billing terms are governed by the Refund & Billing Policy.

  1. PAYMENT ORCHESTRATION DISCLAIMER

Where the Platform enables payment initiation or payout functionality:

  • WhitePanther does not hold customer funds
  • WhitePanther does not provide escrow services
  • Transactions are executed by third-party payment providers
  • Settlement timelines are governed by those providers
  • Displayed balances are indicative and may not reflect real-time settlement

Users are responsible for:

  • Beneficiary accuracy
  • Transaction authorization
  • Compliance with tax and regulatory obligations

We are not liable for gateway downtime, delays, chargebacks, or bank processing errors.

  1. AI & AUTOMATED FEATURES

AI-generated outputs:

  • May contain inaccuracies
  • Are generated automatically
  • Do not constitute legal, financial, or professional advice

Users must independently verify all AI-generated content before external use.

We disclaim liability for decisions made based on AI outputs.

  1. CLOUD & EMAIL INTEGRATIONS

WhitePanther integrates with:

  • Google LLC

Important clarifications:

  • Email content remains in the Customer’s Gmail account.
  • Files remain stored in Customer-controlled Google Drive accounts.
  • WhitePanther does not replicate or permanently store such content.
  • Only encrypted metadata references may be maintained.
  1. EMAIL MARKETING RESPONSIBILITY

You are solely responsible for:

  • Obtaining lawful consent
  • Complying with anti-spam laws
  • Maintaining unsubscribe mechanisms
  • Ensuring lawful campaign practices

Abusive or spam behavior may result in suspension.

  1. SCREEN RECORDING MODULE

Screen recordings are stored in user-controlled third-party cloud storage.

Users must:

  • Obtain required consent
  • Manage storage quotas
  • Comply with applicable laws

WhitePanther is not liable for third-party storage failures.

  1. TIME TRACKING MODULE

Time entries are manually logged.

WhitePanther:

  • Does not monitor keystrokes
  • Is not a payroll certification system

Employers remain responsible for labor compliance.

  1. DATA OWNERSHIP

You retain ownership of your content.

By using the Platform, you grant us limited rights to:

  • Host
  • Process
  • Transmit
  • Backup

Your data solely for service delivery.

  1. DATA PROTECTION

We implement commercially reasonable security measures aligned with industry standards.

Data processing is governed by:

  • Our Privacy Policy
  • Data Processing Agreement (where applicable)

We may use approved sub-processors.

  1. ACCEPTABLE USE

You may not use the Platform to:

  • Send spam
  • Conduct fraud
  • Distribute malware
  • Violate intellectual property rights
  • Misrepresent identity
  • Abuse communication tools

Violations may result in suspension or termination.

  1. SUSPENSION & TERMINATION

We may suspend or terminate accounts for:

  • Non-payment
  • Security risks
  • Legal violations
  • Abuse of Service

Upon termination:

  • Access ceases
  • Data export may be available for a limited time
  1. CONFIDENTIALITY

Both parties agree to protect confidential information exchanged during service usage.

  1. DISCLAIMER OF WARRANTIES

The Platform is provided “AS IS” and “AS AVAILABLE.”

We do not guarantee:

  • Uninterrupted chat or call connectivity
  • Error-free AI outputs
  • Continuous third-party availability
  1. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

WhitePanther shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Communication outages
  • Third-party infrastructure failures

Total liability shall not exceed fees paid in the preceding twelve (12) months.

  1. INDEMNIFICATION

You agree to indemnify WhitePanther against claims arising from:

  • Misuse of the Platform
  • Spam or unlawful email campaigns
  • Fraudulent payment activity
  • Violation of laws or third-party rights
  1. FORCE MAJEURE

We are not liable for delays caused by events beyond reasonable control, including government action, internet outages, or payment gateway disruptions.

  1. MODIFICATIONS

We may modify these Terms upon notice. Continued use constitutes acceptance.

  1. GOVERNING LAW

These Terms are governed by the laws of India.

Exclusive jurisdiction: Courts of Chennai, Tamil Nadu.
